Terms of Use

Vivid Finance ("Vivid") is provided by Kin Workplace Software, Inc., an Illinois corporation ("Kin," "we," "us," or "our").

1. Agreement to These Terms

These Terms of Use (the "Terms") govern your access to and use of Vivid Finance, including our websites, applications, AI coaching features, and related services (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.

2. What Vivid Is

Vivid is a financial wellness platform. It helps you see your financial accounts in one place, understand your cash flow, debt, and savings, set goals, and receive educational guidance — including from an AI-powered coach. Vivid is offered directly to individuals and through participating employers (see Section 8).

3. Vivid Is Not Financial, Investment, Tax, or Legal Advice

Vivid is an educational tool. Nothing in the Service constitutes financial, investment, legal, accounting, or tax advice, and no advisory, fiduciary, or professional relationship is created by your use of the Service. Scores, projections, recommendations, alerts, and coaching responses are general educational information based on the data you connect. They are not tailored professional advice. Before making significant financial decisions, consult a qualified professional who can evaluate your individual circumstances.

Kin is not a bank, broker-dealer, investment adviser, credit counselor, or tax preparer. The Service does not move money, execute trades, or make credit decisions.

Information available through the Service may not be used for any purpose covered by the Fair Credit Reporting Act, including determining any person's eligibility for credit, insurance, employment, or housing.

4. AI-Powered Features

Parts of the Service — including the Vivid coach — are powered by artificial intelligence. When you chat with the coach, you are interacting with an AI system, not a human.

AI-generated content can be inaccurate, incomplete, outdated, or unsuited to your situation, even when it sounds confident. You agree that you will independently verify AI-generated information before relying on it, and that you will not treat AI output as a substitute for advice from a qualified human professional. We disclaim liability for decisions you make in reliance on AI-generated output to the fullest extent permitted by law (see Sections 14 and 15).

5. Eligibility

You must be at least 18 years old, reside in the United States, and have the legal capacity to enter into a binding contract to use the Service. You may only connect financial accounts that you own or are legally authorized to access.

6. Your Account

  • Provide accurate, current information when creating your account and keep it up to date
  • Keep your login credentials confidential — you are responsible for activity under your account
  • Notify us promptly at privacy@vividfinance.com if you suspect unauthorized use of your account

7. Connecting Your Financial Accounts

Vivid works by connecting to your financial institutions through trusted data-access providers: Plaid Inc. and Quiltt, Inc. (whose connections may be facilitated by underlying providers such as Finicity, a Mastercard company, or MX). We never receive or store the username or password you use at your bank.

By connecting an account, you grant Kin and our data-access providers a limited authorization to act as your agent solely to access, retrieve, and transmit your account data on your behalf for the purpose of providing the Service to you. When we access your data through these providers, we are acting as your agent, with your authorization — not on behalf of your financial institution.

By connecting an account, you also expressly consent to and agree to be bound by:

You can disconnect a financial account at any time from the Connections page. Disconnecting stops future data retrieval for that account.

8. Employer-Sponsored Access

If your access to Vivid is sponsored by your employer or another organization (a "Sponsor"), these Terms still apply between you and Kin. Your Sponsor receives only your name, email address, and enrollment date — never your financial data. Any usage reporting we provide to a Sponsor is aggregated and anonymized, and only for groups large enough that no individual can be identified.

Your Sponsor is not responsible for the Service or for any information or guidance you receive through it. If your relationship with your Sponsor ends, your account remains yours; we will tell you what options you have to continue using the Service.

9. Consent to Electronic Communications

By using the Service, you consent to receive all agreements, notices, disclosures, and other communications from us electronically — through the Service or at the email address on your account — and you agree that electronic delivery satisfies any legal requirement that a communication be in writing. To receive them you need a current web browser, an email account, and an internet connection.

You may request a paper copy of any communication, or withdraw this consent by closing your account, by contacting us at privacy@vividfinance.com. Withdrawing consent may prevent us from providing the Service to you.

10. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms
  • Connect financial accounts you do not own or lack authorization to access
  • Attempt to access other users' accounts or data
  • Probe, disrupt, or circumvent the Service's security or rate limits
  • Scrape the Service or access it with automated tools except as we expressly permit
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use the Service to develop a competing product
  • Attempt to manipulate AI features into producing content that violates these Terms

11. Intellectual Property

The Service — including its software, design, text, and branding — is owned by Kin and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal, non-commercial use in accordance with these Terms. Your financial data remains yours.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

12. Third-Party Services

The Service links to and interoperates with third-party services (including the data-access providers in Section 7). We are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies.

13. Termination and Account Deletion

You can delete your account at any time in Settings. Deleting your account disconnects your financial institutions, revokes our access through the data-access providers, and deletes your personal data as described in our Privacy Policy.

We may suspend or terminate your access if you materially violate these Terms, if required by law, or if we discontinue the Service. Unless we are legally prevented from doing so, we will make reasonable efforts to notify you and give you an opportunity to export or delete your data. Sections that by their nature should survive termination (including Sections 3, 4, 11, 14, 15, 16, and 17) survive.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, error-free, or secure; that data retrieved from your financial institutions will be accurate, complete, or current; or that any score, projection, recommendation, or AI-generated output will be accurate or reliable. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

15. Limitation of Liability

To the fullest extent permitted by law: (a) neither Kin nor its officers, directors, employees, or service providers will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to the Service, even if advised of the possibility; and (b) Kin's total aggregate liability arising out of or relating to the Service will not exceed the greater of (i) one hundred dollars ($100) or (ii) the amounts you paid to Kin for the Service in the twelve (12) months before the event giving rise to the claim.

Kin is not liable for financial decisions you make based on information provided by the Service, including AI-generated content, or for the acts or omissions of your financial institutions or our data-access providers. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Kin and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any law or third-party right.

17. Dispute Resolution: Arbitration and Class Action Waiver

Please read this section carefully — it affects your legal rights. You and Kin agree to resolve disputes through binding individual arbitration, and each of you waives the right to a jury trial and to participate in a class action.

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The arbitration will be conducted in English, and may proceed by videoconference or, if in person, in the county where you live or another mutually agreed location. Judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.

Disputes must be brought on an individual basis only. Class arbitrations, class actions, and representative actions are not permitted, and the arbitrator may not consolidate more than one person's claims.

Your right to opt out: you may opt out of this arbitration agreement and class-action waiver by emailing privacy@vividfinance.com within 30 days of the date you first accept these Terms, with your name, the email on your account, and a clear statement that you want to opt out of arbitration. Opting out does not affect any other part of these Terms.

If any part of this section is found unenforceable, the remainder remains in effect, except that if the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court rather than arbitration.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. For any dispute not subject to arbitration, you and Kin consent to the exclusive jurisdiction of the state and federal courts located in Cook County, Illinois.

19. Changes to These Terms

We may update these Terms from time to time. If a change is material, we will notify you before it takes effect — by email or a notice in the Service — and update the "Last updated" date above. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Terms. If you do not agree to a change, stop using the Service and delete your account.

20. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Kin regarding the Service. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, in which case they bind the successor.
